Paradane LLC provides website development, social media marketing, UI/UX design, SEO, and related digital solutions.
Specific deliverables, timelines, and fees will be set out in individual service agreements, proposals, or contracts.
We reserve the right to modify, suspend, or discontinue any aspect of the Services at our sole discretion.
When engaging our Services, you agree to:
Provide accurate and complete information needed for us to deliver the Services.
Secure and maintain all necessary rights, licenses, and permissions for content you provide.
Not use our Services for unlawful, harmful, fraudulent, or malicious purposes.
Remain responsible for maintaining the confidentiality of your account credentials, if applicable.
All materials, code, designs, graphics, documentation, and deliverables produced by Paradane LLC (“Work Product”) remain our property until full payment has been received.
Upon full payment, you are granted a non-exclusive, worldwide, royalty-free license to use the Work Product for your business purposes.
We retain the right to showcase non-confidential work in our portfolio, marketing, and case studies unless otherwise agreed in writing.
You retain ownership of any pre-existing content, trademarks, or materials you supply to us.
Fees and payment terms are defined in individual contracts or invoices.
Late payments may incur interest charges at the maximum rate permitted by law.
Failure to pay may result in suspension or termination of Services.
All fees are exclusive of taxes, which are the client’s responsibility unless otherwise stated.
Both parties agree to protect confidential information shared during the engagement.
Confidential information does not include information already public, independently developed, or lawfully obtained without restriction.
We warrant that we will provide Services in a professional manner consistent with industry standards.
We do not warrant that:
The Services will be error-free, uninterrupted, or secure.
The results of using our Services will meet your specific expectations (including financial outcomes such as revenue growth, conversions, or rankings).
To the fullest extent permitted by law, Services are provided “as is” and “as available.”
To the maximum extent permitted by law:
Paradane LLC shall not be liable for indirect, incidental, consequential, punitive, or special damages (including loss of revenue, profits, goodwill, or data), even if advised of the possibility of such damages.
Our total liability under these Terms, for any claim arising out of or relating to the Services, shall not exceed the total amount paid by you for the Services in the six (6) months preceding the claim.
You agree to defend, indemnify, and hold harmless Paradane LLC, its affiliates, officers, employees, and contractors from and against all claims, damages, liabilities, losses, costs, or expenses (including legal fees) arising out of or related to:
Your misuse of the Services,
Your violation of these Terms, or
Your infringement of any intellectual property or other rights.
Either party may terminate Services with written notice as defined in the applicable agreement.
We may immediately suspend or terminate Services if you breach these Terms, fail to pay, or engage in unlawful activity.
Upon termination, your right to use any unpaid Work Product ceases immediately.
We process personal data in accordance with our Privacy Policy.
You are responsible for complying with applicable data protection laws (e.g., GDPR, CCPA) if you collect or process data through our Services.
Our Services may integrate or rely on third-party platforms (e.g., hosting, analytics, APIs, social networks).
We are not responsible for the availability, functionality, or terms of those third-party services.
These Terms are governed by the laws of State of South Carolina, USA.
Any disputes shall first attempt to be resolved amicably through negotiation.
If unresolved, disputes shall be submitted to binding arbitration in Charlotte, Mecklenburg, conducted in English, in accordance with the rules of ICC.
You waive the right to participate in class actions or class arbitrations.
We may update these Terms from time to time.
Continued use of our Services after updates constitutes acceptance of the revised Terms.
Entire Agreement – These Terms and any executed agreements represent the full understanding between you and Paradane LLC.
Severability – If any provision is held invalid, the remaining Terms remain in effect.
No Waiver – Our failure to enforce any provision shall not be considered a waiver of rights.
Force Majeure – We are not liable for delays or failures caused by events beyond our reasonable control (e.g., natural disasters, internet outages, strikes).
